JobDescription (Contracts Business Manager):

Textron Systems, located in Hunt Valley, Md., is currently seekinga Contracts Business Manager with eight to ten years’ experience. Inaddition to providing contract leadership, advice and support to management andprogram teams, they will be responsible for all aspects of contract managementthroughout the contracting process, from pre-proposal activities throughcontract close-out.Specificresponsibilities for this position will include:

ContractsStructure and Business Terms

  • Develop a clear understanding of customer andprogram requirements that harmonize with Textron Systems’ business strategy toensure contract structure and business terms are aligned with both

  • Draft and negotiate corporate standard andnon-standard non-disclosure agreements (NDA’s), teaming agreements, memorandaof understanding (MOU), bailment agreements and other non-standard agreements.

  • Identify and protect company’s intellectualproperty rights.

  • Review terms and conditions to addressprovisions and risks of financial terms, acceptance criteria, deliveryrequirements, warranty, intellectual property, termination provisions,indemnification and all other potential risk areas and recommend riskmitigation strategies

  • Recommend changes, additions, and deletions tothe contract structure to ensure accurate reflection of customer requirementsand alignment with Textron Systems’ program strategy and risk mitigation

  • Negotiate profit and provide profitjustification to the customer, ensuring that the profit/fee is consistent withand appropriate for the contract type, identified program risks, marketstandards, internal investment requirements, and working capital considerations

  • Identify business risks associated withcontract in partnership with mission assurance

  • Ensure flow down of required terms andconditions to subcontractors and that subcontractor terms and conditions areappropriate for the work being performed in relation to the prime contract

  • Work closely with and communicate effectivelywith the Contracts/Legal home office to coordinate review and approval ofvarious documents.

Negotiation

  • Lead the development of a comprehensivenegotiation strategy/plan working in conjunction with Program Team

  • When applicable, lead Integrated Product Teams(IPT’s) in preparation for negotiations

  • Define negotiation parameters throughdelegation process (including goals/limits)

  • Negotiate appropriate contract type, scope,price, profit and terms

  • Execute cost or pricing data certificate whererequired

  • Lead delegation process, ensuring assemblingdelegation package and proper sign-offs

FinancialPerformance

  • Establish equitable payment terms, facilitatetimely payments through coordinated oversight with Finance of invoicingprocess, and ensure customer compliance with payment terms

  • Ensure that the contract and statement of workare consistent with pricing assumptions to effectively manage financial riskrelated to contract terms and conditions, and that the underlying cost estimateis consistent with and appropriately addresses performance risk

  • Implement the change management process andcoordinate with Program Management to ensure compliance and manage contractchanges

  • Monitor contract cost performance in concertwith Program Business Management and Finance

TechnicalPerformance

  • Verify with Program Manager that all technicalrequirements have been properly reviewed and a clear technical baseline isincluded in contract documents

  • Ensure that a verified schedule baseline isincluded in contract documents

  • Following contract award, communicate (togetherwith the PM) contract, program schedule and SOW requirements to program team

  • Ensure compliance with program schedule asoutlined in contract

Qualifications

Required Skills:

  • Comprehensive knowledge and understanding of contracting principles and all contract types. Strong knowledge of the current acquisition regulations and other laws and regulations applicable to contracts.

  • Excellent interpersonal, leadership, management and mentoring skills.

  • Extensive knowledge of the federal acquisition process, government contracting principles and governing regulations (including FAR/DFAR).

  • Demonstrated experience in reviewing Terms and Conditions, identifying risk areas and proposing and negotiating more favorable terms.

  • Excellent contract drafting and negotiation skills and demonstrated experience in contract administration.

  • Sound understanding of commercial contracts, business agreements and general business practices.

  • Strong knowledge of subcontracting practices, accounting, finance, pricing, and estimating principles, and business law.

  • Demonstrated knowledge of international contract terms, ITAR and US import and export regulations.

  • Solid understanding of applicable military and commercial specifications and standards.

  • Strong business acumen, problem solving abilities, and good judgment.

  • Excellent oral/written communication, analytical and organizational skills.

  • Proven ability to effectively communicate with all levels of management and manage from remote site location.

  • Ability to work independently and manage multiple work assignments and meet critical deadlines.

  • High integrity and an unyielding commitment to compliance.

  • Willingness and ability to travel domestically and internationally.

  • Personal computer skill proficiency.

RequiredExperience:

  • BA/BS degree in a related field required. Advanced degree aplus.

  • 8-10 years demonstrated experience primarily with federalDOD and international contracts, including working directly with the DODand Prime Contractors.

  • Advanced knowledge of intellectual property and software licenseagreements preferred.

  • Prior supervisory/managerial experience desirable.

  • Certified Professional Contracts Manager (CPCM) a plus.

  • Ability to obtain and maintain a US security clearance is required
